Welcome to Liquifyplus. These Terms of Service govern your use of liquifyplus.com, our enquiries, consultations, and the Shopify-related services we provide. By using our website, contacting us, booking a call, approving a proposal, or engaging our services, you agree to these Terms.

1. Our services

Liquifyplus provides Shopify-related professional services, which may include Shopify store design or redesign, conversion-focused improvements, custom development, app or integration development, speed optimisation, bug fixing, migrations, maintenance, and related consulting.

The exact services, deliverables, price, payment schedule, timeline, revision limits, client responsibilities, and acceptance criteria for a project will be stated in a written proposal, quotation, statement of work, email confirmation, or contract (together, a Project Agreement). If a Project Agreement conflicts with these Terms, the Project Agreement applies to that project.

2. Enquiries and estimates

Submitting a form, sending a WhatsApp message, booking a call, or receiving an estimate does not create a client relationship or require Liquifyplus to accept the project. We may decline a project where it is not a suitable fit, where required information or access is unavailable, or for any other reasonable business reason.

Estimates are based on the information available when they are issued. Work that is outside the agreed scope, including additional pages, features, integrations, revisions, data work, third-party issues, or changes requested after approval, may require a separate quotation and written approval before work begins.

3. Client responsibilities

To enable us to deliver the project, you agree to:

  • provide accurate, complete, and timely information, content, feedback, approvals, and access;

  • ensure that you own or have permission to use all materials you provide, including text, images, logos, videos, product data, fonts, code, and customer data;

  • maintain valid licences and accounts for Shopify, themes, apps, domains, hosting, payment providers, and other third-party services needed for the project;

  • review work and provide consolidated feedback within the time agreed in the Project Agreement; and

  • make all business, legal, tax, product, advertising, pricing, fulfilment, privacy, and compliance decisions for your store.

Delays in receiving access, content, feedback, approvals, or payments may delay delivery dates. We are not responsible for delays caused by the client or a third party.

4. Fees and payment

Fees, taxes, deposit requirements, milestone payments, and due dates are shown in the Project Agreement or invoice. Unless a Project Agreement states otherwise, work starts only after the required advance payment is received.

Invoices must be paid by the stated due date. We may pause work, withhold delivery, remove access to staging work, or reschedule a project where a payment is overdue. You remain responsible for reasonable costs we incur because of an overdue payment, where permitted by law.

All fees are quoted in Indian Rupees unless stated otherwise. Applicable taxes, including GST where applicable, may be added to invoices.

5. Changes, revisions, and acceptance

Included revisions are limited to the number and type stated in the Project Agreement. A revision means a refinement of work already included in the agreed scope; it does not include new features, changed direction after approval, or work caused by new requirements.

You must review delivered work promptly and report material issues against the agreed scope in writing. If you use, publish, launch, or ask us to transfer the final work, it will be treated as accepted unless the Project Agreement says otherwise.

6. Refunds and cancellations

Our Refund Policy forms part of these Terms. Project-specific cancellation or refund terms in the Project Agreement apply where they differ from the general Refund Policy.

Because services involve reserved time, professional work, and project-specific deliverables, fees for work already performed, approved third-party costs, and non-recoverable expenses are generally not refundable. We will handle any valid refund request in accordance with the agreed scope and applicable law.

7. Third-party platforms and services

Our work may use or integrate third-party platforms, including Shopify, payment processors, apps, themes, domains, hosting providers, analytics tools, advertising platforms, and communication tools. Their separate terms, prices, availability, policies, updates, and decisions apply.

We do not control and are not responsible for third-party outages, policy decisions, account suspensions, app updates, fees, data loss, security incidents, or changes to their functionality. You are responsible for maintaining your third-party accounts, subscriptions, credentials, backups, and compliance obligations unless a Project Agreement expressly says otherwise.

8. Results and no guarantees

We provide professional design, development, and optimisation services. We do not guarantee sales, revenue, profit, advertising performance, search rankings, conversion rates, website traffic, approvals by Shopify or any platform, or any other business result. Results depend on many factors beyond our control, including your product, offer, pricing, traffic quality, brand, fulfilment, customer service, inventory, advertising, market conditions, and implementation.

Any examples, testimonials, case studies, audits, or past results shown on our website are illustrative of specific work or client experiences. They are not a promise of the same outcome for you.

9. Intellectual property

Each party retains ownership of materials it owned before the project. You retain ownership of the content and business materials you provide.

Subject to full payment of all amounts due, you receive rights to use the final custom deliverables created specifically for you under the Project Agreement for your business. Unless agreed otherwise in writing, Liquifyplus retains ownership of its pre-existing tools, code libraries, processes, templates, know-how, generic components, and any third-party materials used under their licences.

Third-party themes, apps, fonts, stock assets, plugins, and platform features are governed by their own licences and may not be transferable. You are responsible for obtaining and keeping the licences required for your use.

We may display non-confidential completed work, your business name, logo, or a link to the live project in our portfolio or case studies only where permitted by the Project Agreement or your written approval.

10. Confidentiality and access

We will use reasonable care to protect non-public business information you provide and will use it only to provide the services, operate our business, or meet legal obligations. You must keep project credentials and non-public materials secure and should provide access using appropriate collaborator or staff permissions where available.

We may refuse to accept unnecessary sensitive personal information, payment-card information, passwords sent in plain text, or credentials that would give inappropriate access. You should promptly remove our access after the project ends unless ongoing maintenance has been agreed.

11. Website use

You may use this website for lawful, personal, and business purposes. You must not:

  • misuse, disrupt, damage, reverse engineer, scrape, or attempt unauthorised access to the website or our systems;

  • submit false, misleading, infringing, unlawful, or harmful material;

  • use the website to send spam or unsolicited communications; or

  • copy, reproduce, sell, or exploit website content without our prior written permission, except as permitted by law.

We may update, suspend, or discontinue any part of the website at any time.

12. Privacy and communications

Our handling of personal information is described in our Privacy Policy. By submitting an enquiry, you allow us to contact you about that enquiry through the contact details you provide. Marketing communications are sent only where permitted; you can opt out using the unsubscribe method provided or by contacting us.

If you contact us through WhatsApp, WhatsApp's terms and privacy practices also apply. You can ask us to stop marketing communications at any time.

13. Limitation of liability

To the maximum extent permitted by applicable law, Liquifyplus and Growthx Media LLP will not be liable for indirect, incidental, special, consequential, punitive, or business losses, including loss of profit, revenue, data, goodwill, sales, opportunity, or anticipated savings, arising from the website or services.

Our total liability for a specific project will not exceed the fees actually paid to us for that project in the three months immediately before the event giving rise to the claim. Nothing in these Terms limits liability that cannot legally be limited or excluded.

14. Indemnity

You agree to indemnify and hold Liquifyplus and Growthx Media LLP harmless from claims, losses, damages, costs, and reasonable legal expenses arising from materials, instructions, products, services, or data you provide; your misuse of the services; or your breach of these Terms or a Project Agreement.

15. Termination

Either party may end a project as permitted by the Project Agreement. On termination, you must pay for work performed, approved expenses, and third-party costs incurred up to the termination date. Clauses that should reasonably continue after termination, including payment, intellectual-property, confidentiality, disclaimers, limitations of liability, and dispute provisions, will continue.

16. Changes to these Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised “Last updated” date. Continued use of the website after an update means you accept the revised Terms. Changes to an active Project Agreement require written agreement where they materially affect the project.

17. Governing law and disputes

These Terms are governed by the laws of India. Before starting formal proceedings, both parties will try in good faith to resolve a dispute by written discussion. Subject to applicable law, the courts at Mandsaur, Madhya Pradesh, India will have jurisdiction over disputes arising from these Terms.
